A founding partner of 44 Capital, Guilherme has over 27 years of experience within the financial markets including relevant periods with Morgan Stanley (NY and SP) and Banco Fator, having developed significant expertise in corporate finance advisory, relationship management with domestic and multinational clients and foreign investors, management of the most diverse and complex M&A and capital markets transactions. He holds a BS. in Business Administration from PUC-São Paulo and holds an MBA in General Management from the Tuck School of Business at Dartmouth College, alongside extensive executive education on Negotiation, obtained at Harvard Business School, Harvard Negotiation Institute and the Program on Negotiation at Harvard Law School. He serves as a Board Member for Public Cos in Brazil.

Fernando Ruiz

Managing Partner

Mr. Ruiz began his career at Osram Sylvania Inc. in 1998 in international trade markets. From 99-02 he was part of Bradesco BBI and Bradesco Brokerage House as co-head of the legal department and head of structured transactions originating and executing more than 12 transactions such as delisting of public companies, initial public offerings, special auctions and bids of public concessions and privatizations. In 2003 he joined Interamericana Ltda., as a consultant, where he was responsible for the execution of financial restructurings and project designs for family offices. In 2004, he participated in the conception and original formation of Aggrego Consultores as a consultant and was responsible for the M&A, funding and business development projects for local and foreign clients. As a financial advisor, coordinated several transactions e.g. sale of Locomotiva (Alpargatas) to Brasfanta Group, acquisition of Serasa by Experian Plc., acquisition of Interactiva Brazil by Group IMI Plc. among other assignments. He holds a bachelor’s degree in Business Management from PUC-SP and a law degree from Universidade Mackenzie-SP.

André Franco

Senior Advisor Agribusiness

André Franco has over 30 years of experience in the agribusiness sector, with more than 15 years in “C-Level” positions serving as GM/CEO for 10 years. His career was developed in various agribusiness multinationals, such as Monsanto, Ceres Sementes, Trouw Nutrition, Nidera Sementes and Syngenta Seeds with multifunctional and diversified experience over sales, strategy, marketing, human resources, and general management. His career was marked by turnarounds, “startups” and “new ventures” being part of M&A activities from the buyer and seller perspective. With great knowledge on the Brazilian and Latin America Agribusiness, André has in-depth knowledge of crop protection, seeds (corn, soy, wheat, sunflower and pasture), bioenergy based on biomass, animal nutrition and cattle raising. He was a board of directors’ member of ABRASEM (Brazilian Seeds Association) and CropLife Brasil, in the latter, acting from its establishment to Chairman of the Board. Graduated in Agricultural Engineering from ESALQ-USP, holds Executive Development Program (EDP) from Kellogg Graduate School of Management, Executive MBA obtained from Fundação Dom Cabral Foundation Brasil alongside with several other courses in Marketing and Leadership from renowned institutions such as Fundação Getúlio Vargas, Kellogg, INSEAD, TAI Institute, Egon Zendher & Mobius. André also acts as entrepreneur, angel investor, consultant and as a small farmer.

Lucas Vazami

Associate

Lucas has over five years of experience in the financial markets, with the last three years dedicated to Investment Banking at 44 Capital. During this period, he has been directly involved in multiple M&A transactions across Latin America, primarily advising international clients in cross-border deals. He began his career as an Investment Analyst at Itaú Unibanco Pension Fund. Lucas holds a degree in Actuarial Sciences from FEA-USP.

Carolina Baldi

Associate

Carolina joined 44 Capital in 2022. She holds a degree in Business Administration from ESPM Sul and has experience in the financial consulting area. She started her career working as an intern at Gama Investimentos, an M&A and debt restructuring boutique. Later, she worked in the Strategy and Transactions area at EY, where she was part of the valuation team, performing projects on fair value, purchase price allocation (PPA), modeling and debt.

Bernardo Rossatti

Analyst

Bernardo holds a Bachelor’s degree in International Relations from Fundação Getulio Vargas (FGV) and joined 44 Capital in 2025. During his academic tenure, he completed an international exchange program at Université du Québec à Montréal, specializing in International Economics. He began his career in strategic consulting at Alvarez & Marsal, where he advised publicly listed companies, and subsequently transitioned to proprietary M&A at Fortbras, an Advent International portfolio company.

During this period, he was directly involved in capital markets deals totaling over BRL 20 billion. He holds a degree in Finance from the University of Tampa and is a CFA® charterholder.
